Diane Hazel Discusses Interlocking Directorates on Our Curious Amalgam Podcast
Foley & Lardner LLP partner Diane Hazel is interviewed on the American Bar Association’s Our Curious Amalgam podcast episode, “Are You on Board With Section 8? A New Era of Enforcement Against Interlocking Directorates.”
In the episode, Hazel discussed the renewed attention from the U.S. Department of Justice and the Federal Trade Commission on identifying Section 8 violations based upon an expansive view of statute’s scope.
“At a minimum, avoid direct interlocks,” Hazel cautioned. “Also, don’t just assume because you’re not a corporation, that it won’t apply to you.”
She suggested several ways to ensure compliance, including screening candidates prior to making appointments to boards or officer seats and offering periodic reviews and surveys, among others.
“The agencies’ view right now is this expanded view of person which can apply to the legal entity itself and not just the individual,” Hazel explained. “It’s all complicated, and I really would say to consult your counsel on these issues and work through ways to be compliant.”
