The article discusses recent amendments to the regulations governing restructuring after a tax-free reorganization. Goodman presents a historical backdrop and foundation of the new rules, identifies issues pertaining to the new regulations, provides guidance in structuring transactions to achieve desirable results, and argues for further liberalization of the law in this area.
