Access to Capital: Not-for-Profit Hospital Conversion Transactions – A Case Study
The ever-changing landscape in health care continues to put significant strain on smaller hospitals and health care systems and their missions to provide high-quality, affordable health care to the patients and communities they serve. As a result, there has been a tremendous increase in the number of community hospitals and health care systems affiliating with larger systems, as well as outright sales of these entities to regional and national nonprofit and for-profit provider organizations. Recently, Memorial Health Systems of York, Pennsylvania made the decision to sell its business and assets to Community Health Systems of Nashville, Tennessee. This Web conference is a case study on the transaction and the related environmental, business, and mission considerations leading up to the sale. The discussion will highlight:
- The current hospital and health system environment
- The circumstances surrounding the decision to sell Memorial Health Systems
- The Memorial Health Systems sale process
- A review of the characteristics desired by for-profit entities, such as CHS, when considering acquisition candidates
- The benefits and burdens of affiliating with for-profit provider entities
- The compelling legal and regulatory issues that present themselves in for-profit to not-for-profit conversion transitions
