Foley Partners Roger Strode and Marcus Helt will be presenting at the AHLA Health Care Transactions Conference in Nashville, Tennessee.
Mr. Strode will be presenting Thursday, May 2nd at 1:30pm with John C. Riddle, a Managing Director at Brown Gibbons Lang & Company, and their presentation is titled, “Physician Practice Recapitalizations-Deal Trends and Regulatory Issues.” Their session will focus on the taxonomy of physician recapitalization transactions and provide an update of current market conditions; common deal structures and documentation; pressing deal issues, including equity rollovers, tax consequences, use of representations, and warranty insurance and restrictive covenants; and common regulatory issues including how to handle compliance issues and structuring around Stark Law and AKS issues.
Mr. Helt will be a panelist for “Demystifying the Chapter 11 Process-Using Section 363 as a Strategic Tool” program at 8:00am on Friday, May 3rd. He will be joined by Thomas Couch (Managing Director, MidCap Financial) and Wayne P. Weitz (Managing Director and Practice Head, H2C Restructuring), and the panel will be moderated by Program Co-Chair John B. Hardcastle (Bradley Arant Boult Cummings LLP). Their discussion will focus on a general overview of Chapter 11, competing objectives of sellers, lenders, trade creditors, and buyers, as well as the advantages and mechanics of a Section 363 sale.
