Foley Serves as Insurance Regulatory Counsel to Confie Seguros in Merger with Alliant
Foley & Lardner LLP served as insurance regulatory counsel to Confie Seguros and its private equity sponsor, ABRY Partners, in Confie’s merger with Alliant Insurance Services, one of the nation’s leading distributors of diversified insurance products and services. Confie is one of the nation’s largest personal lines insurance distributors. The transaction brings Confie’s family of leading personal insurance brands, 3,500 employees, and more than 1 million customers under the Alliant group.
The merger strengthens Alliant’s position in the personal lines market, expands its national reach, and adds a diverse portfolio of products and services under its banner. With the backing of Alliant’s national network, Confie will be able to further execute against its national growth strategy.
One of the largest insurance brokerage deals in years, Foley assisted with complex issues relating to the change of control of regulated entities in multiple states, advised on agreement terms, and assisted with unwinding Bermuda-based captive reinsurance companies from Confie’s structure.
Founded in 2008, Confie is an innovative and technology-driven independent agency with over 750 retail locations across 23 states. Its network also includes the Bluefire general agency and telephone and online service in all 50 states. Confie serves customers through its full-service “click, call, come-in” approach. Setting Confie apart is its ability to use data-driven insights into customer buying patterns through several patent-pending technologies.
Confie has more than 150 national and regional partnerships offering auto, motorcycle, homeowners, renters, life, health and other insurance products through its family of brands. Its brands include Freeway Insurance, InsureOne Insurance, Bluefire Insurance, OneSource Dealer Services, Cost-U-Less Insurance Center, Baja Auto Insurance and U.S. Agencies.
The Foley team was led by partner Michael Kasdin and included partner JillAllison Opell, Senior Counsel Nick Paquette, and associates Zoe Uvin and Stephanie Pierce.
