Foley & Lardner LLP, in partnership with the Practising Law Institute, is pleased to announce the release of the Audit Committee Deskbook, set to publish on November 1, 2021. This comprehensive guide for audit committees provides an authoritative reference addressing the challenges faced by today’s audit committees, their members, in-house counsel, and stakeholders.
More than 20 Foley attorneys across the firm with deep expertise in audit committee governance and practice – including SEC reporting obligations and corporate governance matters, financial reporting and risk management, financial fraud investigations, and outside audit firm obligations – contributed to the Deskbook. This cross-department collaboration among the firm’s Capital Markets and Public Company Advisory Group, the Securities Enforcement & Litigation Practice Group, and the Government Enforcement, Defense and Investigations Practice Group distills the firm’s experience and knowledge representing public and private company clients and their audit committees, boards, in-house counsel, and independent auditors into an all-encompassing legal reference.
The Deskbook includes checklists and key sample documents, including committee charters, policies governing confidentiality, insider trading and related-person transaction policies, and a director code of conduct. The Deskbook also includes various sample questionnaires, guidelines, resolutions, and letters. Further, it provides readers with an overview of audit committees’ essential duties and legal responsibilities, offers a deep dive into the day-to-day issues and legal considerations they face, and gives readers an outline of U.S. legal regimes that affect companies conducting business in the global marketplace.
“The Audit Committee Deskbook is a one-of-a-kind legal resource for audit committees,” said Deskbook co-authors Todd Murray, Eric Pearson, and Mark Plichta, “In today’s global business marketplace, audit committees face a myriad of challenges on a day-to-day basis, but this resource will make that less uncertain by distilling the experiences of Foley’s rich 180-year history of seasoned transactional, litigation, and regulatory counsel into a digestible, practical, and – perhaps most importantly – comprehensive resource.”
The Audit Committee Deskbook will be released on November 1, 2021 and available for purchase online here.
