Foley & Lardner LLP served as legal advisor to Boston-based bio convergence company BICO Group AB (“BICO”) in its acquisition of Allegro 3D, a San Diego-based 3D bioprinting and biomaterials company. Allegro 3D’s patented Digital Light Processing (DLP) technology will be commercialized by CELLINK and is a strong complement to the existing offering of application-tailored products.
The addition of Allegro 3D to the portfolio provides BICO with significantly expanded opportunities to scale operations for bioprinting customers. Given the high throughput nature of the technique, customers will be able to increase their output of bio-fabricated constructs. The Allegro 3D portfolio enables high precision and high-speed bioprinting tailored for multi-well printing, providing life science companies with the features needed for developing tissue constructs for regenerative medicine and drug testing workflows. The acquisition is also in line with BICO’s commercial agenda to provide technologies and sustainable solutions that reduce dependency on animal models and increase the availability of on-demand tissue.
Founded in 2016, BICO (formerly CELLINK) enables the future of life-saving treatments by reducing organ shortage and accelerating drug development by providing accessible life science solutions that combine biology and technology. The company focuses on developing, manufacturing, selling, and supporting its life sciences equipment, consumables, and reagents for both manufacturing and research purposes.
The Foley deal team was led by Partner Gabor Garai, Senior Counsel Christopher Bourne, and Associate Megan Fouse, with assistance from Partners Andrew Rawlins, John Palmer, Joseph Rupkey, Christopher Swift, Erin Toomey, and Casey Knapp, Senior Counsels Nicholas Johnson and Jordan Bergmann, Special Counsel Arthur Phillips, Of Counsel Mark Neuberger, and Associates Tiffany Young, Kelsey O’Gorman, Megan Chester, and Hannah Demsien.
