Foley Represents HN Capital Partners in Acquisition of Iconic Rosewood Mansion
Foley & Lardner LLP served as legal counsel to private real estate investment firm HN Capital Partners, in the acquisition of the iconic Rosewood Mansion on Turtle Creek in Dallas, Texas. KSL Capital Partners and InterBank provided funding for the purchase.
The 142-room, nine-story luxury hotel and adjoining restaurant first opened in 1981 and has been a celebrity hot spot for decades. The property had been owned by a Hong Kong investor since 2011. The new owners plan to continue operating the Mansion on Turtle Creek with Rosewood, aiming to preserve the Mansion’s history while growing its appeal.
The Foley team advised on the purchase of the hotel from an offshore owner, the restructuring of the long-term management and branding arrangements with Rosewood Hotels & Resorts, and the structuring and documentation of the ownership vehicle that included multiple tranches of equity investments by a private equity fund, among other items.
