Partner

Gustavo (Gus) Resendiz is a partner in Foley & Lardner’s Fund Formation & Investment Management Practice. He advises clients in the private funds industry, including private equity, growth equity, venture capital, funds of funds, and hedge funds.

Gus counsels private fund sponsors on all aspects of the fund formation process and in connection with continuation vehicle and other GP-led secondary transactions and GP-stake transactions. Gus also works with emerging, spin-out, “first time,” and fund-less sponsors establishing their initial pooled investment vehicles where he advises on separation matters, placement agent arrangements, commercial agreements, borrowing facilities, internal governance/employee and management company arrangements, SEC registration and compliance, carried interest structuring, and warehousing and co-investment arrangements.

Gus regularly represents institutional investors, including public and private pensions, university endowments, foundations, family offices, and funds of funds, in connection with primary fund commitments, anchor investments, co-investments, and buy- and sell-side secondary fund transactions. He is frequently engaged by institutional investors and limited partner advisory committees on bespoke fund governance matters.

Gus understands the legal and business issues important to clients. Between private practice at major law firms, Gus served for over a decade as a general counsel and chief compliance officer to SEC-registered investment advisers, where he oversaw legal, compliance, fundraising, investor relations, and operational matters. Gus is known for effectively advocating for his clients, while navigating matters with judgment, credibility, and restraint, and helping clients reach durable outcomes without unnecessary friction.

Gus is regularly featured in industry news and analysis, providing commentary on legal and market trends in the private funds’ ecosystem. Gus also serves as co-chair of the Foley Boston Office Pro Bono Committee and regularly represents pro bono clients on a broad range of matters. Gus is active in community organizations, including serving as a member of the Board of Directors and the Executive Committee of the Boys & Girls Club of Lawrence (MA).
